Company secretarial

Keeping your business compliant while you concentrate on running it.

Staying compliant with corporate governance and regulatory requirements is a time consuming and complex task. When company directors can be fined and face criminal prosecution if they fail to comply with the administrative, disclosure and filing requirements of the Companies Acts, it is not an area to ignore.

Annual confirmation statements

The requirement to file an annual confirmation statement applies to all companies, public and private, including dormant companies. This statement includes details of the company’s directors, share capital and shareholders and serves to confirm that your company has delivered all the required information from the previous review period.

It is important to file your company’s confirmation statement by the deadline to avoid being fined or potentially having your company struck off the register. In addition to meeting this legal obligation, our team can assist you in using the confirmation statement as an opportunity to review and update your company’s information and ensure all transaction-based records and filings are up to date.

Statutory books and share certificates

Keeping statutory books up-to-date is not just good practice—it’s a legal requirement for company directors. These records include several statutory registers which must be maintained accurately and made available for public inspection:

  • Register of Members
  • Register of Directors
  • Register of Directors’ Residential Addresses
  • Register of Secretaries
  • Register of Charges (created before 6 April 2013)
  • Register of People with Significant Control

In the interests of good governance, the company’s statutory books will often also include the Register of Allotments and Applications, Register of Transfers, Share Certificates and Board Minutes.

Our specialists can maintain your statutory registers and minute books to ensure compliance with legislation. If they are lost or gathering dust on a shelf, we’ll reconstitute them for you as soon as possible to avoid any potential legal or reputational risks.
